ClearDeed — End-User License Agreement

Last updated: October 1, 2026

This End-User License Agreement ("EULA") is between you and NGN Consulting Corp. ("we", "us") and covers the ClearDeed mobile app ("the app"). The app is licensed to you, not sold. The app asks you to accept this EULA and our Terms and Conditions before you use it; by accepting, or by using the app, you agree to them. The warranty disclaimer and limits of liability in the Terms also apply here, and are repeated in section 7. If this EULA and the Terms and Conditions ever conflict, the Terms govern, except on the scope of your license to use the app, where this EULA governs.

1. License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the app on Android devices you own or control, obtained through Google Play, for your own non-commercial planning. Paid features you unlock are licensed to you on the same terms, for as long as the purchase (or, for a subscription, the paid period) is valid.

2. Restrictions

Except as the law expressly allows, you may not:

3. Ownership

The app and all rights in it, including updates, remain the property of NGN Consulting Corp. and its licensors. Your plan data belongs to you and stays on your device, as described in the Privacy Policy.

The app includes open-source software components, each licensed under its own terms; they are listed, with their licenses and notices, in the third-party notices. Nothing in this EULA limits your rights under, or grants you rights that override, any of those open-source licenses.

4. Updates

We may release updates that add, change or remove features. Updates are covered by this EULA unless they come with different terms.

5. Google Play

This EULA is between you and us, not Google. Your use of Google Play, including purchases and refunds, is also governed by Google's own terms. Google has no obligation to provide support or maintenance for the app.

6. Termination

This license lasts until it ends. It ends automatically if you breach this EULA. You can end it at any time by uninstalling the app. When it ends for any reason, your right to use the app stops immediately and you must uninstall it from your devices. If the license ends because of a material breach, we may also ask Google Play to cancel, refund or revoke purchases connected with that breach under Google Play’s policies; the app checks your purchases with Google Play, so revoked features stop working. Ending the license does not affect your plan data, which stays on your device and remains yours.

7. No warranty; limitation of liability

The app is provided "as is" and "as available", and its projections are estimates, not guarantees. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the app's calculations are error-free, that it will meet your needs, or that it will be uninterrupted or free of defects.

To the fullest extent permitted by law, NGN Consulting Corp. will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of money, savings, profits or data, arising from your use of or reliance on the app — including any financial decision you make based on its estimates. Our total liability for any claim relating to the app is limited to the amount you paid us for the app in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

8. Export and legal compliance

You may not use or export the app in violation of United States export laws or any other applicable law. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Governing law

This EULA is governed by the laws of the State of Illinois, USA, without regard to its conflict-of-laws rules, with disputes brought in the state or federal courts located in Cook County, Illinois, unless applicable consumer-protection law gives you the right to bring them where you live.
